Mexico. The Plenary of the Federal Institute of Telecommunications, IFT, authorized, subject to the fulfillment of conditions, to carry out the concentration by which Grupo Televisa (GIETV) acquires all the shares of Televisión Internacional (TVI).
Two economic interest groups participate in the concentration: grupo Televisa and Grupo Multimedios. Both provide the services of:
Telecommunications.- Television and restricted audio (STAR), fixed Internet access and fixed telephony, and
Commercial broadcasting.- Television and commercial open radio.
Currently TVI has as shareholders, direct and indirect, GIETV and Grupo Multimedios, who have the same shareholding. The participation that GIETV currently has in TVI resulted from a previous concentration analyzed in 2006 and 2007 by the defunct Federal Competition Commission (CFC), which was authorized subject to compliance with conditions, which are and will continue to be enforceable to GIETV and TVI to avoid damage to the provision of STAR.
However, as a result of the concentration authorized by the IFT Plenary, the GIETV could acquire the shareholding that the Multimedia Group has in TVI, as long as it accepts and complies with the conditions within the deadlines established by the Institute.
In order to obtain authorisation for the concentration, the interested parties notified the IFT of the terms under which they wished to carry out the transaction. However, after analyzing the initial proposal, the Institute identified that GIETV and Grupo Multimedios would have a structural link that generated risks of coordinated effects between both groups in the provision of related commercial broadcasting services in various locations located in the Northeast of the national territory.
For this reason, in terms of the LFCE, the Institute made the parties aware of the identified risks. Consequently, the interested parties submitted conditions which modified the terms of the concentration. This, together with the clarifications imposed by the Institute, is sufficient to correct the risks of coordinated effects initially identified.
The GIETV, in case of accepting the conditions established in the resolution of the Plenary of the Institute, will be subject to carry out the concentration in those terms and accredit it before this authority within the period granted by the Institute. In addition, they remain subject to compliance with the conditions previously established by the CFC.
